Introduction to the Whistleblower Act

Responsible corporate governance begins with identifying and addressing risks before they cause damage. The new Whistleblower Protection Act (HinSchG), also known as the Whistleblower Law or Whistleblower Directive, requires companies to implement internal whistleblower systems. The legislation was passed to create uniform and effective protection for individuals who report legal violations in the workplace – so-called whistleblowers. These can be employees, interns, working students, shareholders, suppliers, but also employees who have already been terminated or are just about to start work. The background to this is the EU Whistleblower Directive (EU 2019/1937), which requires all member states to establish national regulations to protect whistleblowers. The legislation aims to strengthen transparency, integrity, and legal compliance in companies and organizations, as well as to uncover internal criminal offenses, administrative offenses, or other violations of rules. Which companies are affected by the HinSchG?

  • Companies with 50 to 249 employees have an implementation obligation since 17 December 2023
  • Companies with more than 249 employees have an implementation obligation since 02.07.2023
  • Companies in the financial sector, municipalities and companies subject to anti-money laundering regulations, regardless of the number of employees
  • Legal entities under public law are also affected by the legislation

Your legal obligations as a company & management

As a company with over 50 employees, you bear the responsibility for implementing the requirements of the Whistleblower Act in a timely and complete manner. A securely operated internal whistleblower reporting center protects not only the whistleblower but also your company. This way, you avoid liability risks for management and supervisory bodies, and you also identify violations early on – before they become public or criminally relevant.

Establishment of an internal reporting center
As management, you are legally obligated to establish an internal reporting center if your company has at least 50 employees. The final transitional period expired on December 17, 2023.
Appointment of a responsible person
A responsible person or department must be appointed to receive and process tips – either internally or externally (e.g. by an ombudsman or service provider).
Data protection & confidentiality
All incoming information must be treated with strict confidentiality. The protection of the whistleblower's identity is guaranteed by law. Furthermore, all processes must be GDPR-compliant.
Security in communication
Secure channels for submitting information must be established—in writing, verbally (by phone/voicemail), and, if requested, in person. These channels must be protected from unauthorized access.
Independence & Impartiality
The investigating body must act independently, objectively investigate reports, and have no conflicts of interest. It must not be bound by directives, such as a compliance department.
Documentation and retention obligations
The reporting office must send an acknowledgement of receipt within 7 days and respond to the whistleblower within 3 months. Each tip must be retained for a total of 3 years.
Creation of internal guidelines & policies
The reporting point should be clearly defined in a whistleblower policy or internal procedural instruction – including reporting channels, protection mechanisms and contact persons.
Ensuring protection against reprisals
It is the responsibility of management to create structures that prevent retaliation against whistleblowers and promote an open culture of error within the company.
Integration into compliance management system
The reporting office should not be managed in isolation, but as an integrated part of the compliance system – with links to risk management and internal controls.
Active exercise of supervisory duties
Managing directors must regularly check whether the internal reporting system is functioning properly. Failure to do so may result in liability risks under Section 130 of the German Administrative Offenses Act (OWiG) (breach of supervisory duty).
Information & training of employees
Employees must be transparently informed about the existence, possible uses, and purpose of the reporting center. Training for the responsible reporting center officers is mandatory.
Regular review and adjustment of the reporting office
The effectiveness of the internal reporting system must be reviewed regularly and adapted to legal or operational changes as the situation requires.

Whistleblowers are individuals who report information about illegal conduct in a professional environment. These include employees, freelancers, interns, applicants, suppliers, or former employees.

The Whistleblower Act, also known as the Reporter Protection Act, is a German law that protects individuals who report malpractice in a professional context, such as corruption, data protection violations, or other breaches of law. It implements the EU Whistleblower Directive and requires many companies and public authorities to establish an internal reporting center.

A whistleblower reporting point is an internal or external facility through which employees can report misconduct safely and confidentially. It can be reached by phone, in writing, digitally, or in person. Companies have two options:

  1. by compliance department, data protection officer or internal systems
  2. through specialized providers with data protection-compliant whistleblower systems

Yes. The law also permits anonymous reports if the reporting center is technically and organizationally equipped accordingly. Processing anonymous reports is not mandatory, but it is strongly recommended.

Whistleblowers are protected by law from discrimination, dismissal, or retaliation. Employers may not retaliate as long as the report is made in good faith.
